Appointment & Scope

Agreement & Merchant Status

This Agreement governs the listing and operations of the Restaurant Partner on the Behtafood Platform — a digital food ordering and delivery marketplace. By registering on the Platform, the Restaurant Partner agrees to be bound by the terms set out herein. The Restaurant Partner is an independent merchant and is not an employee, agent, or representative of Behtafood Company Limited.

Platform Commission

Revenue & Remittance Terms

Behtafood charges a commission of 10% of the Gross Order Value on every successfully completed order. As monthly volumes grow — beginning from 500 orders per month — the Partner will be notified in writing of a reduced commission rate, with not less than seven (7) days' notice. Commission is deducted before remittance. No commission is charged on cancelled or refunded orders. Net earnings are remitted weekly, within three (3) business days after each Sunday close.

Operational Standards

Performance Commitments

Respond to every incoming order within 3 minutes. Keep order rejection below 5% monthly. Standard orders must be ready within 20 minutes; complex orders within 35 minutes. Partner-initiated cancellations should remain below 3% monthly. Your storefront should be live for at least 95% of declared operating hours. Target wrong-item incidents below 1.5% and missing-item incidents below 2%. Maintain a customer rating of 4.0 or above out of 5.0.

Food Safety & Packaging

Quality & Hygiene Protocol

The Partner shall at all times hold valid food business permits (NAFDAC / Ministry of Health / LGA) and comply with all applicable food safety laws. All orders must be securely packaged to prevent spillage — tamper-evident seals are mandatory for Premium Partners. All items must use fresh, non-expired ingredients. Behtafood reserves the right to conduct unannounced quality audits. Partners must accurately label all items with allergen and dietary information.

Menu, Pricing & Promotions

Listing Integrity Standards

All items must be accurately described, correctly priced, and available at the time of listing. Out-of-stock items must be marked unavailable within 15 minutes of depletion. Prices listed on the Platform must not be higher than on any other channel for equivalent items. Menu photography must be original, high-resolution, and accurately represent the item. Co-funded campaigns require prior written cost-sharing agreements.

Payments, Data & Technology

Financial & Data Governance

A detailed weekly earnings statement is provided through the Merchant App, itemising Gross Order Value, commission deducted, and net amount remitted. All Customer data and Platform analytics are the exclusive property of Behtafood — Partners shall not use Customer contact details for marketing. Disputes must be raised within 7 days of the earnings statement. The Restaurant Partner is solely responsible for all applicable taxes (VAT, CIT/PIT).

Legal Provisions

Termination, Liability & Arbitration

Behtafood may suspend a storefront immediately for food safety risk, fraud, repeated SLA breaches, or reputational harm. All Behtafood business, pricing, Customer, and Platform information is strictly confidential — this obligation survives termination for 5 years. Either party may terminate on 30 days' written notice; Behtafood may terminate immediately for material breach. Dispute resolution follows: Negotiation (14 days) → Mediation (30 days) → Binding arbitration in Lagos under Nigerian law.

Who We Are

Data Controller Identity

Behtafood Company Limited ("Behtafood", "we", "our") is the data controller responsible for personal information collected through the Behtafood Platform, Merchant App, and associated services. Information We Collect

Categories of Personal Data

We collect the following categories of information: (a) Identity & Contact Data — your full name, business name, email address, phone number, and CAC / business registration number provided during onboarding; (b) Financial Data — bank account details, earnings records, and tax identification numbers required for remittance and regulatory compliance; (c) Operational Data — order histories, preparation times, cancellation rates, customer ratings, and storefront availability metrics generated through your use of the Platform; (d) Device & Technical Data — IP addresses, device identifiers, browser type, app version, and log data collected automatically when you access the Merchant App or Platform; (e) Communications — messages, support tickets, and correspondence exchanged with Behtafood.

How We Use Your Information

Lawful Purposes & Legal Bases

We process your personal data for the following purposes: (a) Contract Performance — to onboard you as a Restaurant Partner, process orders, calculate and remit earnings, and manage your storefront listing; (b) Legal & Regulatory Compliance — to fulfill our obligations under Nigerian law, including tax withholding, NAFDAC-related record-keeping, and regulatory reporting; (c) Platform Operations & Safety — to monitor performance against the SLA, investigate fraud or food safety incidents, and enforce the terms of this Agreement; (d) Service Improvement — to analyse Platform usage, improve features, and personalise your Merchant App experience; (e) Communications — to send you earnings statements, operational notices, policy updates, and support responses.

Sharing Your Information

Third Parties & Disclosures

We do not sell your personal data. We may share your information with: (a) Service Providers — payment processors, cloud hosting providers, analytics partners, and customer support tools engaged under strict data processing agreements; (b) Logistics Partners — delivery agents who require order and location data necessary to complete a delivery; (c) Regulatory & Law Enforcement Authorities — where we are legally required to disclose information by a court order, regulatory directive, or applicable Nigerian law; (d) Business Transfers — in connection with a merger, acquisition, or sale of all or substantially all of our assets, subject to the receiving party maintaining equivalent privacy protections. Customer personal data collected through the Platform remains the exclusive property of Behtafood and is not shared with Restaurant Partners for independent marketing purposes.

Data Retention

Storage Periods & Deletion

We retain your personal data for as long as your partner account is active and for a period of seven (7) years thereafter, in accordance with Nigerian tax and commercial record-keeping requirements. Confidentiality obligations under your SLA survive termination for five (5) years. Device and log data is retained for up to twelve (12) months. Where data is no longer required for any lawful purpose, we securely delete or anonymise it.

Data Security

Technical & Organisational Measures

We implement industry-standard technical and organisational security measures to protect your personal data against unauthorised access, loss, alteration, or disclosure. These measures include encrypted data transmission (TLS), access controls and role-based permissions, regular security assessments, and secure cloud infrastructure. You are responsible for maintaining the confidentiality of your Merchant App credentials and must notify us immediately at security@behtafood.com if you suspect any unauthorised account access.

Your Rights

Access, Correction & Erasure

Subject to applicable Nigerian law and the Nigeria Data Protection Act (NDPA) 2023, you have the right to: (a) Access — request a copy of the personal data we hold about you; (b) Rectification — request correction of inaccurate or incomplete data; (c) Erasure — request deletion of your data where it is no longer necessary for the purposes for which it was collected, subject to our legal retention obligations; (d) Restriction — request that we limit processing of your data in certain circumstances; (e) Objection — object to processing based on our legitimate interests. To exercise any of these rights, contact us at privacy@behtafood.com. We will respond within 30 days.

Cookies & Tracking

App & Web Analytics

The Behtafood Merchant App and web-based Platform use cookies, local storage, and similar tracking technologies to maintain your session, remember preferences, and collect analytics data. Analytics help us understand how Partners use the Platform so we can improve it. You may manage cookie preferences through your browser settings; however, disabling certain cookies may affect the functionality of the Platform. We do not use tracking technologies for third-party advertising.

Changes to This Policy

Updates & Notification

We may update this Privacy Policy from time to time to reflect changes in our practices, technology, or applicable law. Where changes are material, we will notify you via the Merchant App or by email at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated policy. The current version and effective date are always published at the top of this page.
